Welcome to ClientPact. These Terms of Service explain the rules for using our website, application, and related services.

By accessing or using ClientPact, you agree to these Terms. If you do not agree, please do not use ClientPact.

1. About ClientPact

ClientPact is a SaaS platform that helps freelancers, agencies, consultants, and service providers create and manage proposals and deals, share public client links, show deposit and payment details, and track deal status.

Current MVP features include a proposal and deal builder, client acceptance via public links, manual deposit and payment tracking, message templates for payment reminders, and workspace settings. Features such as integrated client checkout, legal e-signatures, team workspaces, custom domains, or advanced AI writing may be offered later and are not guaranteed.

2. Eligibility

You must be legally able to enter into a binding agreement to use ClientPact.

By using ClientPact, you confirm that you are at least 18 years old or the legal age required in your country, have authority to use ClientPact on behalf of your business or organization, provide accurate information, and that your use does not violate applicable law.

3. Your account

You are responsible for keeping your login information secure, all activity under your account, ensuring your account information is accurate, and notifying us at quandmk1@gmail.com if you suspect unauthorized access.

We may suspend or terminate your account if we believe your account is being misused, compromised, or used in violation of these Terms.

4. Your content

You retain ownership of content you create or upload to ClientPact, including proposals, client information, documents, images, logos, and other materials. By using ClientPact, you grant us a limited license to store, process, display, and transmit your content only as needed to provide the service.

You are responsible for your content. You agree not to upload or create content that violates the law, infringes intellectual property rights, is harmful, abusive, fraudulent, or misleading, contains malware, includes personal data you do not have permission to process, or violates client confidentiality or third-party agreements.

5. Client information

ClientPact allows you to store or process information about your clients. You are responsible for ensuring you have the right to enter client information, use client data lawfully, keep proposals and deal documents accurate, and comply with privacy, consumer protection, tax, contract, or business laws that apply to you.

ClientPact is a tool. We are not responsible for the business relationship between you and your clients, and we do not provide legal, tax, or financial advice.

6. AI features

ClientPact may provide AI-assisted features in the future to help generate or improve proposal content, scopes, pricing text, summaries, or other business materials. Availability may vary by plan and release.

You understand that AI output may be inaccurate, incomplete, or unsuitable; does not replace professional legal, financial, tax, or business advice; and that you are responsible for reviewing and editing AI-generated content before use.

You should not submit highly sensitive, confidential, or regulated data into AI features unless you have the right to do so. We do not guarantee that AI-generated content will win clients, increase revenue, or produce any specific business outcome.

7. Templates and examples

ClientPact may provide proposal templates, pricing examples, payment terms, and suggested wording for convenience.

Templates are not legal advice and may not be suitable for every business, country, client, or project. You should review and customize templates before sending them to clients.

8. Public proposal links

ClientPact allows you to share public proposal links with clients. You are responsible for choosing who receives the link, reviewing content before sharing, and managing when a deal should remain visible. Deals are generally accessible via slug when you share the link and the deal is not draft or cancelled, as described in the product.

Anyone with access to a public or shared proposal link may be able to view its content depending on your settings and deal status. Remove or stop sharing links when you no longer want clients to access the content.

9. Payments and subscriptions

ClientPact may offer free and paid plans. Paid plans may be billed monthly, yearly, or as shown at checkout. By subscribing, you agree to pay applicable fees, provide accurate billing information, and allow our payment provider to charge your selected payment method where subscriptions are enabled.

The MVP does not provide an integrated payment gateway for collecting your clients’ deal payments; you share bank or payment instructions manually. Subscription billing for ClientPact plans may be processed by third parties such as Stripe or Paddle when available. Prices, features, and plan limits may change over time with reasonable notice where required.

10. Refunds

Refund eligibility depends on the plan, billing method, and applicable law. Unless stated otherwise, subscription payments are generally non-refundable, you may cancel to avoid future charges, partial refunds are not guaranteed, and refund requests are reviewed case by case.

11. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support at quandmk1@gmail.com.

After cancellation, you may continue using paid features until the end of your billing period unless otherwise stated, your plan may downgrade afterward, and your data may be retained according to our Privacy Policy.

12. Acceptable use

You agree not to use ClientPact for illegal, fraudulent, abusive, or harmful purposes; attempt to hack, disrupt, overload, or damage the service; reverse engineer or copy ClientPact’s software without permission; abuse the service with bots; upload malware; misrepresent your identity; violate intellectual property rights; send spam or deceptive content; or resell or sublicense ClientPact without permission.

We may investigate and take action, including suspension, if we reasonably believe you have violated acceptable use.

13. Intellectual property

ClientPact, including its software, design, branding, interface, templates, systems, and technology, is owned by us or our licensors. You may not copy, modify, distribute, sell, or reverse engineer any part of ClientPact unless we give you written permission. Your content remains yours.

14. Third-party services

ClientPact may integrate with third-party services such as authentication providers, hosting, email tools, analytics, storage providers, subscription payment processors (for example Stripe or Paddle), and AI providers when features are offered.

Your use of third-party services may be subject to their own terms and privacy policies. We are not responsible for third-party services outside our control.

15. Service availability

We aim to keep ClientPact reliable and available, but we do not guarantee uninterrupted service. ClientPact may be unavailable due to maintenance, updates, technical issues, security incidents, third-party failures, or events beyond our control.

We are not liable for losses caused by service downtime, data delays, or temporary unavailability except as required by applicable law.

16. No guarantee of business results

ClientPact helps you create and manage proposals and deals, but we do not guarantee that you will win clients, increase revenue, close deals, receive payments, avoid disputes with clients, or achieve any specific business outcome.

Your results depend on your offer, pricing, communication, market, client relationship, and other factors outside our control.

17. Disclaimer of warranties

ClientPact is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and error-free operation.

18. Limitation of liability

To the maximum extent permitted by law, ClientPact and its owners, employees, contractors, and partners will not be liable for lost profits, lost revenue, lost business opportunities, lost data, client disputes, payment issues, indirect or consequential damages, or damages caused by your use or inability to use ClientPact.

Our total liability for any claim related to ClientPact will not exceed the amount you paid to us in the last three (3) months before the claim arose.

19. Indemnification

You agree to defend and hold ClientPact harmless from claims, damages, losses, liabilities, and expenses arising from your use of ClientPact, your content, your violation of these Terms, your violation of any law or third-party rights, or your relationship or dispute with your clients.

20. Suspension and termination

We may suspend or terminate your access if you violate these Terms, fail to pay fees, your use creates security or legal risk, your account is suspected of fraud or abuse, or we are required to do so by law.

You may stop using ClientPact at any time. Provisions that by their nature should survive termination will survive.

21. Changes to the service

We may add, change, or remove features at any time as ClientPact evolves, including plan limits, pricing, templates, integrations, and AI capabilities.

We will use reasonable efforts to communicate material changes that affect your paid subscription where required by law or contract.

22. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above.

For significant changes, we may notify you by email, in-app notice, or another reasonable method. Your continued use of ClientPact after changes become effective means you accept the updated Terms.

23. Governing law

These Terms are governed by the laws of Vietnam, unless otherwise required by mandatory applicable law in your jurisdiction.

Any disputes arising from or relating to these Terms or ClientPact will be subject to the exclusive jurisdiction of the competent courts in Vietnam, unless otherwise required by mandatory law.
